What Happened

  1. Artal Luxembourg, advised by the Invus Group, bought Weight Watchers from Heinz for $735 million in 1999
  2. In 2012, Weight Watchers borrowed about $1.5 billion to buy back stock, letting Artal cash out shares while keeping control and leaving the new debt on the company's books
  3. Filed Chapter 11 bankruptcy in May 2025 under roughly $1.5 billion in debt — when GLP-1 drugs (Ozempic, Wegovy) disrupted the weight-loss industry, the debt left no room to invest in adapting
  4. WeightWatchers emerged from bankruptcy in June 2025 after about six weeks, with lenders taking 91% of the reorganized company and roughly $1.15 billion in debt wiped out, leaving original shareholders with 9%

  • In 2023, WeightWatchers cut its fixed studio locations to about 100, shutting the neighborhood meetings longtime members built their routines around
  • The points-and-meetings community millions had paid into thinned out fast, with subscriptions down 12% in 2024 as members left for Ozempic and Wegovy
  • Local meeting groups closed or consolidated as the company cut costs — the in-person community Weight Watchers was built on shrank along with its budget
